KITSIFY PARTNER TERMS

1. Overview
These Partner Terms outline the rights and responsibilities of individuals or teams (“Partners”) who
collaborate with Kitsify, a subsidiary brand of Immensity Group Business Development Services
Corporation, to create and feature digital products sold through www.kitsify-shop.com (“Website”).
By applying or participating as a Partner, you acknowledge that you have read, understood, and agreed
to these terms.

2. Who Can Become a Partner
Kitsify Partners are verified content creators, designers, strategists, or educators who contribute
original digital products or templates to be sold exclusively through the Kitsify platform.
Partners are not employees, affiliates, or customers of Kitsify—they are independent collaborators
working under a project-based arrangement.
Kitsify reserves the right to review all partnership applications and approve only those that align with its
brand standards and product guidelines.

3. Partnership Model
Under the Kitsify Partnership Program:
 The Partner develops original digital content such as templates, kits, or creative assets.
 Kitsify handles sales, marketing, hosting, and customer fulfillment.
 Both parties agree on a revenue share arrangement before the product’s launch.
 The Partner earns a pre-agreed percentage of each sale, paid monthly or quarterly as mutually
decided.
 All pricing, promotions, and listing details remain under Kitsify’s management.
There are no royalties or licensing fees owed to Partners beyond the agreed revenue share.

4. Intellectual Property and Attribution
 The Partner retains ownership of the original creative materials they produce.

 By submitting their work, the Partner grants Kitsify a non-exclusive, worldwide license to
market, modify (for formatting or branding consistency), distribute, and sell the product on all
Kitsify platforms.
 Kitsify may list the product under joint credit (e.g., “Kitsify x [Creator Name]”) or as part of a
themed collection.
 Kitsify branding, store interface, and marketing assets remain the sole property of Immensity
Group Business Development Services Corporation.
 Partners may not represent themselves as Kitsify or use the Kitsify name without written consent.

5. Payment and Reporting
 Partner revenue share is based on net sales (after platform fees, transaction costs, or refunds).
 Payouts are made via the payment method agreed upon—typically bank transfer, GCash, or
PayPal.
 Payment processing occurs within 30 days after the close of each payout cycle.
 Kitsify provides sales summaries or statements upon request.

6. Responsibilities
Kitsify will:
 Provide sales hosting, marketing, and distribution of approved products.
 Manage customer support related to orders and technical issues.
 Promote partner products through its ecosystem (email, social media, marketplace, etc.).
The Partner will:
 Submit only original, legal, and non-infringing content.
 Ensure files meet Kitsify’s technical and quality standards.
 Not upload or propose plagiarized, AI-scraped, or rebranded third-party works.
 Comply with these terms and any additional collaboration agreement.

7. Termination of Partnership
Either party may terminate a partnership with written notice.
Upon termination:
 Kitsify will remove the Partner’s products from active listings within 30 days.
 Pending payouts for valid completed sales will still be remitted.
 The Partner may continue selling their original work independently elsewhere, provided it does
not use Kitsify branding or confidential materials.

8. Confidentiality

Partners agree to maintain the confidentiality of Kitsify’s internal systems, marketing methods, financial
details, and project frameworks.

This obligation continues after termination of the partnership.

9. Liability
Kitsify is not liable for indirect, incidental, or consequential damages related to the partnership.
Total liability under this agreement shall not exceed the Partner’s total revenue share earned in the six (6)
months preceding the claim.

10. Governing Law
These terms are governed by the laws of the Republic of the Philippines.
Any disputes shall fall under the exclusive jurisdiction of the courts of Quezon City, Metro Manila.
